ARTICLE I -NAME AND OBJECTIVE
Section A:
The name of the organization is the Hearing Loss Association of America, Twin Cities Chapter. This organization is an affiliate of the national organization, Hearing Loss Association of America (HLAA). Hearing Loss Association of America Twin Cities Chapter Minneapolis/St. Paul MN USA will be referred to as HLAA-TC throughout this document.
Section B:
HLAA-TC is a volunteer organization of hard of hearing people, their relatives and friends. It is a non-profit, nonsectarian educational organization devoted to the welfare and interests of those who are hard of hearing but committed to participating in the hearing world. HLAA-TC shall be located in the Twin Cities area of Minnesota.
ARTICLE II-FEES
A person paying fees to HLAA-TC is encouraged to be a member in good standing with HLAA National. The fees for HLAA-TC are separate from HLAA National membership dues. People are encouraged to submit fees to HLAA-TC to help cover the expenditures of holding monthly meetings, producing newsletters, providing captioning services during the monthly meetings, and other administrative costs.
ARTICLE III-OFFICERS AND THEIR ELECTION
Section A:
The officers of HLAA-TC shall be: President, Vice-President, Secretary, Treasurerand Four (4) Directors At Large.
Section B:
All officers shall be elected by a majority vote of partners in good standing present and voting at the annual meeting.
ARTICLE IV-MEETINGS
HLAA-TC shall hold at least nine (9) meetings a year.
ARTICLE V-AMENDMENTS
This Constitution may be amended at a general meeting by a two-thirds vote, provided that the amendment has been submitted in writing and notice given at the previous meeting.
ARTICLE VI -DISSOLUTION
In the event that the chapter dissolves or ceases to function, all remaining funds and assets shall be distributed exclusively to charitable, religious, scientific, literary or educational organizations which would then qualify under the provisions of Section 501(c)(3) of the Internal Revenue Code.
